Greens247 - Referral Agreement

1. Overview

The Greens247 Universal Terms of Service Agreement (the “UTOS”) sets forth the general terms and conditions of your use of the Greens247 website and all Services. This Referral Partner Agreement (this “Referral Agreement”) specifically governs your participation in the Greens247 Referral Program (the “Program”). While this Program may be labeled as an "Affiliate" program within your billing dashboard, it operates strictly as an offline, manually managed referral system.

This Referral Agreement operates in conjunction with, and supplements, the UTOS. Capitalized terms used, but not explicitly defined, in this Referral Agreement are defined in the UTOS. In the event of a direct conflict between the provisions of the UTOS and the provisions of this Referral Agreement, the provisions of this Referral Agreement shall control strictly with respect to your participation in the Program.

By joining the Program, you acknowledge that you are operating as an independent contractor, and nothing in this Agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Greens247.


2. Program Mechanics and Manual Assignment

Unlike traditional web-based affiliate programs, Greens247 does not utilize automated cookie-based tracking links. The Program operates on a strictly manual verification and assignment basis.

  • Referral Introduction: To earn a commission, you must directly refer a new customer to Greens247.
  • Manual Assignment: Upon the successful registration and purchase by the referred customer, Greens247 staff will manually review the transaction. If validated, our staff will manually link the new customer to your referral account within the Greens247 billing portal.
  • Qualified Referrals: A commission is only generated for "Qualified Referrals." A Qualified Referral is defined as a new customer who (i) has never previously held an account with Greens247, (ii) successfully pays for a new hosting service without triggering fraud alerts, and (iii) bypasses our standard money-back guarantee period.

Greens247 retains the sole and absolute discretion to determine whether a referral qualifies for a commission.


3. Commission Usage and Payouts

Commissions are tracked within your Greens247 client portal. How you may utilize or withdraw these commissions depends on your account classification:

3.1 Standard Clients (Account Credit)

For standard Greens247 clients, earned commissions are issued strictly as account credit to be applied toward your own active Greens247 services. Standard clients may not withdraw commissions as cash to an external bank or PayPal account.

  • The 50% Application Limit: When applying referral credit to a Greens247 invoice, the maximum amount of credit that can be applied is capped at 50% of the invoice's net total. This net total is calculated after all promotional discounts have been applied, and before Value Added Tax (VAT) or other applicable taxes are added. The remaining 50% of the invoice must be paid via a standard payment method.

3.2 Approved Marketing Agencies (Cash Withdrawals)

If you are operating as an approved B2B marketing company or agency with a specialized agreement with Greens247, you may be eligible to withdraw earned commissions as cash payouts.

  • Minimum Withdrawal Requirement: Payouts need to reach the minimum withdrawal limit of $100 USD or its equivalent in other supported international currencies.
  • Invoicing Requirement: To process a cash withdrawal, the marketing agency must issue a formal, legally compliant tax invoice to the respective Greens247 contracting entity (Greens Twenty Four Seven, LLC in Egypt, or Greens Twenty Four Seven, LTD in the UK) for the exact withdrawal amount. The invoice must contain the bank details to issue the local bank transfer.
  • Deductions: All cash payouts to marketing agencies are subject to applicable local withholding taxes and banking fees. The final transferred amount will reflect the commission balance minus these legally required deductions.

4. Reversals and Chargebacks

Greens247 actively monitors all referred accounts for fraudulent activity. You acknowledge and agree that Greens247 reserves the absolute right to delay, withhold, or reverse any commission (including deducting previously credited amounts from your account balance) under the following circumstances:

  • The referred customer cancels their service and requests a refund within the money-back guarantee period.
  • The referred customer initiates a credit card chargeback or payment dispute.
  • The referred customer's account is suspended or terminated for violating the Greens247 Acceptable Use Policy (AUP) or Universal Terms of Service (UTOS).
  • The referral is determined to be a "Self-Referral" (e.g., using a different email address or company name to refer yourself to earn a discount). Self-referrals are strictly prohibited.

5. Program Modifications and Termination

Greens247 explicitly reserves the right, in its sole and absolute discretion, to:

  • Modify the commission rates, payout thresholds, or the 50% credit application limits at any time, without prior notice.
  • Suspend or terminate your participation in the Program if we determine you are engaging in fraudulent referrals, misrepresenting Greens247 to the public, or violating any terms of this Agreement.
  • Terminate the Program entirely at any time. In the event of Program termination, validly accrued commissions will be honored according to the payout rules established in Section 3.

6. Legal Compliance and Disclosures

6.1 Endorsement Transparency (FTC & CMA Compliance)

Even though this Program operates via manual assignment rather than automated affiliate links, you are strictly required to comply with all applicable endorsement guidelines, including the US Federal Trade Commission (FTC) guidelines and the UK Competition and Markets Authority (CMA) regulations. If you endorse, recommend, or refer a client to Greens247, you must clearly and conspicuously disclose to that prospective client that you maintain a financial relationship with Greens247 and may receive compensation or account credit for the referral. Deceptive, hidden, or misleading endorsements are strictly prohibited.

6.2 Data Protection and GDPR Compliance

You are solely responsible for ensuring that your methods of acquiring and referring prospective clients comply with all applicable data protection and privacy laws, including the UK General Data Protection Regulation (UK GDPR) and the Egyptian Personal Data Protection Law (Law No. 151 of 2020). You may not utilize spam, unsolicited bulk email (UCE), or illegally acquired contact lists to solicit referrals.

6.3 Data Isolation

You acknowledge and agree that referring a customer to Greens247 does not grant you any administrative rights, access, or visibility into that referred customer’s account. Greens247 will maintain strict data isolation. We will not share the referred customer’s personal data, billing details, server configurations, or support history with you under any circumstances.
