Greens247 - Professional Services Agreement
Last Revised: 26 May 2026
1. Overview
The Greens247 Universal Terms of Service Agreement (the “UTOS”) sets forth the general terms and conditions of your use of the Greens247 website and all Services. This Professional Services Agreement (this “PSA” or “Service Agreement”) specifically governs your purchase and use of Greens247’s custom web development, software engineering, server management consulting, and digital marketing services (collectively, the “Professional Services”).
This Service Agreement operates in conjunction with, and supplements, the UTOS. Capitalized terms used, but not explicitly defined, in this Service Agreement are defined in the UTOS. In the event of a direct conflict between the provisions of the UTOS and the provisions of this Service Agreement, the provisions of this Service Agreement shall control strictly with respect to the Professional Services.
2. Scope of Professional Services
Purchase of a Professional Service is governed by the specific parameters, features, and deliverables outlined in your official Greens247 invoice, quote, or Statement of Work (SOW). Professional Services may include, but are not limited to:
2.1 Web Design and Custom Software Engineering
- Template Web Design (WordPress / CMS): Implementation of a pre-designed theme, limited page creation, and basic e-commerce setup. Includes a strictly defined number of revision rounds.
- Custom Software & SaaS Development: Custom-coded applications (e.g., utilizing Next.js, Laravel, Node.js, PostgreSQL). Development is strictly limited to the technical specifications, features, and user flows explicitly defined in the approved SOW.
- Update Minutes / Maintenance Retainers: Pre-purchased blocks of time for ongoing website edits, content updates, or minor code adjustments post-launch.
2.2 IT Consulting and Server Administration
- Server Migrations: Moving data, databases, and environments from a third-party host to Greens247 infrastructure.
- Hourly Systems Administration: Custom server configurations, advanced firewall setups, optimization, or disaster recovery services billed at an hourly rate.
2.3 Digital Marketing & Social Media
- Social Media Management & Advertising: Paid campaigns, content scheduling, and SEO configurations. By purchasing this service, you grant Greens247 administrative access to act on your behalf on applicable third-party platforms (e.g., Facebook, Google).
3. Client Obligations, Delays, and Automatic Delivery
3.1 Submission of Content and Materials
Unless content creation is explicitly included in your SOW, you are solely responsible for providing all necessary text copy, high-resolution images, brand logos, product catalogs, and API keys required to complete the project. You must submit these materials electronically in the format requested by your Account Manager.
3.2 The "Stalled Project" and Client Delay Clause
Our ability to deliver the Professional Services on time is entirely dependent on your prompt feedback. You agree to respond to any request for content, feedback, or approval within ten (10) business days.
- If you fail to provide necessary content or feedback within this timeframe, Greens247 reserves the right to progress the project using placeholder content (e.g., "Lorem Ipsum" text or stock images).
- If a project stalls for more than thirty (30) days due to client inaction, Greens247 reserves the right to mark the project as "Completed," issue the final invoice for work performed to date, and require a project restart fee to resume development.
3.3 Automatic Publication and Acceptance
Within ten (10) days of receiving notice that your project (or a specific project milestone) is ready for review, you must either (i) provide a consolidated list of revisions within the project scope, or (ii) formally approve the deliverable. If you fail to take either action within ten (10) days, the deliverable will be deemed automatically approved and/or published on your behalf, finalizing that phase of the project.
4. Change Orders and Scope Creep
Greens247 will build your project strictly to the specifications listed in the approved SOW or invoice. Any requests for additional features, extra pages, layout redesigns, third-party software integrations, or structural logic changes made after the SOW is approved are considered "Out of Scope."
Out of Scope requests will not be executed until a formal Change Order is drafted and the associated additional fees are paid by you. Greens247 reserves the right to refuse out-of-scope requests if they jeopardize the technical stability or timeline of the core project.
5. Intellectual Property and Code Ownership
5.1 Retention of Rights Until Payment
Greens247 retains full ownership of all custom source code, designs, and digital assets created during the project until all outstanding invoices related to the Professional Services are paid in full. Upon full clearance of your final payment, Greens247 grants you an exclusive, transferable license to use, modify, and distribute the final custom deliverables.
5.2 Open-Source and Third-Party Assets
Your project may utilize open-source frameworks (e.g., Next.js, Laravel, WordPress), third-party plugins, APIs, or stock imagery. Ownership of these underlying frameworks and third-party assets is never transferred to you and remains subject to their respective open-source licenses (e.g., MIT, GPL) or third-party End User License Agreements.
5.3 AI-Assisted Development
You acknowledge that Greens247 may utilize artificial intelligence (AI) coding assistants or generative design tools to expedite development. Greens247 makes no claim of exclusive copyright over raw, AI-generated code blocks that cannot legally be copyrighted, but guarantees the assembled software application functions as scoped.
5.4 Client Intellectual Property Warranty
You represent and warrant that you own or have secured the appropriate licenses for all text, images, trademarks, and user data you provide to Greens247 for inclusion in the project. You agree to fully indemnify and hold Greens247 harmless against any claims of intellectual property infringement or data privacy violations arising from the materials you supply.
6. Post-Launch Warranties and Limitations
6.1 The 30-Day Bug Fix Window
For custom software and web design projects, Greens247 provides a strict thirty (30) day warranty period beginning on the date of final publication or delivery. During this window, we will fix any critical errors, broken links, or functional bugs directly related to our code at no additional charge.
This warranty does not cover: (i) requests for new features; (ii) design tweaks; (iii) issues caused by your subsequent modifications to the code or CMS; or (iv) breakages caused by third-party plugin updates or API deprecations occurring after launch. Once the 30-day window expires, all further work requires the purchase of Update Minutes, a maintenance retainer, or an hourly billing agreement.
6.2 Uptime and Performance Disclaimer
While Greens247 provides a 99.9% Uptime SLA for its underlying Hosting Services, this SLA strictly does not apply to the performance, uptime, or load speeds of custom software or websites designed under this Professional Services Agreement. Application-level performance is highly dependent on database size, third-party API response times, and user traffic, which are outside the scope of network infrastructure guarantees.
6.3 Security Post-Launch
Unless you purchase an ongoing Managed Server or Software Maintenance retainer, you are exclusively responsible for updating your application dependencies, CMS core files, and plugins to patch emerging security vulnerabilities after the project is delivered. Greens247 disclaims all liability for website hacks, data breaches, or malware infections occurring after the project is handed over to your control.
